Terms of Service

1. Agreement

These Terms of Service ("Terms") form a binding agreement between you and BetterMyMix ("BetterMyMix," "we," "us," or "our") governing your access to and use of bettermymix.com, the BetterMyMix application, and all related services (collectively, the "Services"). By creating an account or using the Services you accept these Terms. If you do not accept, do not use the Services.

2. Eligibility

You must be at least 18 years old (or the age of majority in your jurisdiction) and able to form a binding contract. You represent that all information you provide is accurate, current, and complete, and that your use of the Services complies with applicable laws.

3. Accounts and Security

You are responsible for safeguarding your credentials and for all activity under your account. Notify us immediately of any unauthorized access. We may suspend or terminate accounts that violate these Terms or pose risk to the Services or others.

4. The Services; Marketplace Role

BetterMyMix provides a platform that connects independent artists with audio engineers for feedback, mixing, mastering, and related services, and provides educational content and workspace tools. Where engineers and artists transact through the platform, BetterMyMix acts as a facilitator and is not a party to the agreement between them, except as expressly stated. We do not guarantee any specific outcome, result, or quality from any engineer or service.

5. Payments, Escrow, and Refunds

Payments are processed by Stripe. By making a payment you authorize us and our processor to charge your payment method for the agreed service fee plus any applicable taxes.

Escrow. When an artist books an engineer, the full service fee is collected immediately and held in escrow by BetterMyMix. Funds are not released to the engineer until the artist approves the delivered work or the auto-release period expires. The escrow protects both parties: the artist receives the agreed service before payment is released, and the engineer is guaranteed payment once the work is accepted.

Delivery and approval. The engineer uploads a preview version (watermarked or tagged, streaming-quality) for the artist to review, and a separate clean master file. The artist can stream the preview but cannot download the clean master until they click Approve. Approval releases the escrowed funds to the engineer and unlocks the master download for the artist. The artist may request revisions instead of approving; revisions do not release funds.

Auto-release. If the artist does not approve or request a revision within seven (7) days of delivery, the escrowed funds may be automatically released to the engineer and the master file unlocked for download, unless a dispute is pending.

Disputes and refunds. Artists may not request a refund silently or unilaterally. If the artist believes the delivered work does not meet the agreed scope, they must use the revision process or open a formal dispute through the platform, providing a written reason. BetterMyMix will review the booking history, deliverables, and communications before making a determination. Once the artist has approved the work or downloaded the clean master file, the right to a refund is forfeited except in cases of fraud or breach of these Terms. Chargebacks made without first using the dispute process may result in account suspension and liability for associated fees.

Subscriptions. Subscription plans renew automatically until cancelled; cancellation takes effect at the end of the then-current billing period. Subscription fees are non-refundable except where required by law.

6. User Content; License

You retain ownership of the audio, text, images, and other content you submit ("User Content"). You grant BetterMyMix a worldwide, non-exclusive, royalty-free license to host, store, reproduce, transmit, display, and create derivative works of your User Content solely as necessary to operate, secure, and improve the Services and to provide them to you and your counterparties (e.g., delivering a file to an engineer you hired). You represent that you own or have all necessary rights to your User Content and that it does not infringe or violate any third-party right or law.

Preview files. Preview audio files delivered through the platform (including watermarked or tagged previews) are provided solely for streaming review within the Services. You may not download, screen-record, redistribute, sample, or use a preview file for any commercial or non-commercial purpose unless and until you have approved the booking and the clean master file has been released to you. Any unauthorized use of a preview file constitutes a breach of these Terms and may result in account suspension, forfeiture of refund rights, and liability for copyright infringement.

7. Acceptable Use

You agree not to:

• Upload content that infringes copyright, trademark, publicity, privacy, or other rights;
• Submit unlawful, defamatory, harassing, hateful, sexually exploitative, or violent content;
• Distribute malware, attempt to disrupt the Services, probe or scan vulnerabilities, or bypass access controls;
• Scrape, crawl, or harvest data except via permitted interfaces;
• Use the Services to train machine-learning models without our prior written consent;
• Record, download, redistribute, or commercially exploit preview audio files before the associated booking is approved and the master file is released;
• Impersonate any person or misrepresent your affiliation;
• Use the Services for any illegal purpose or in violation of these Terms.

8. Intellectual Property

The Services, including all software, designs, text, graphics, logos, and trademarks, are owned by BetterMyMix or its licensors and are protected by intellectual-property laws. Except for the limited rights expressly granted, no rights are granted to you. Courses and educational materials are licensed for your personal, non-transferable use only; you may not redistribute, resell, or publicly perform them.

9. Feedback

If you submit suggestions or feedback, you grant us a perpetual, irrevocable, royalty-free license to use them without restriction or compensation.

10. DMCA / Copyright

We respond to valid notices of alleged copyright infringement under the DMCA. Send notices to dmca@bettermymix.com including: identification of the work, the infringing material and its URL, your contact information, a good-faith statement, a statement under penalty of perjury that you are authorized to act, and your physical or electronic signature. Repeat infringers will be terminated.

11. Third-Party Services

The Services may integrate with third-party products (e.g., Google sign-in, Stripe, hosting providers). Your use of those services is governed by their terms and policies, and we are not responsible for them.

12. Disclaimers

The Services and all content are provided "as is" and "as available," without warranties of any kind, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Services will be uninterrupted, secure, accurate, or error-free, or that any defects will be corrected. Any feedback, advice, mix, master, or recommendation is the opinion of the provider and not a guarantee of commercial or artistic success.

13. Limitation of Liability

To the maximum extent permitted by law, in no event will BetterMyMix or its officers, directors, employees, contractors, affiliates, suppliers, or licensors be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or business opportunities, arising out of or relating to the Services, even if advised of the possibility of such damages. Our aggregate liability for all claims arising out of or relating to the Services will not exceed the greater of (a) the amounts you paid to us in the three (3) months preceding the event giving rise to liability or (b) one hundred U.S. dollars ($100).

14. Indemnification

You will defend, indemnify, and hold harmless BetterMyMix and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with (a) your use of the Services, (b) your User Content, (c) your violation of these Terms, or (d) your violation of any law or third-party right.

15. Termination

You may stop using the Services and close your account at any time. We may suspend or terminate access at any time, with or without notice, including for suspected violations of these Terms or to protect the Services. Provisions that by their nature should survive termination will survive, including Sections 6 (license), 8, 12-16, and 18.

16. Governing Law; Arbitration; Class-Action Waiver

These Terms are governed by the laws of the State of New York, United States, without regard to its conflict-of-laws rules. Any dispute arising out of or relating to these Terms or the Services will be resolved by binding individual arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules, in New York, NY, or remotely. You and BetterMyMix waive any right to a jury trial and to bring or participate in any class, collective, or representative action. Either party may bring qualifying claims in small claims court. If arbitration is found unenforceable, the state and federal courts located in New York County, New York will have exclusive jurisdiction.

17. Changes to the Services and Terms

We may modify or discontinue the Services at any time. We may update these Terms; material changes will be posted with an updated effective date and, where appropriate, notified to you. Your continued use after changes become effective constitutes acceptance.

18. Miscellaneous

These Terms, together with our Privacy Policy, constitute the entire agreement between you and BetterMyMix regarding the Services. If any provision is held unenforceable, the remaining provisions will remain in full force. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our prior written consent; we may assign freely. Notices to you may be provided via the Services or email.
